Welcome to ModerantAI. Please read these Terms of Service ("Terms") carefully because they govern your use of our website, API, and content moderation services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.
1. Definitions

"ModerantAI," "we," "us," or "our" refers to the company providing the services.

"Client" or "You" refers to the entity or individual accepting these terms.

"Content" refers to text, images, or other data submitted by the Client to ModerantAI for processing.

"Output" refers to the classification, labels, scores, or decisions returned by ModerantAI’s AI regarding the Content.
2. The Services
ModerantAI provides an AI-powered content moderation platform designed to assist in the detection and classification of user-generated content.

License: We grant you a limited, non-exclusive, non-transferable, revocable license to use our Services for your internal business purposes.

Service Levels: We aim to maintain high availability, but we do not guarantee that the Services will be uninterrupted or error-free.
3. AI Disclaimer & Accuracy
This section is critical. Please read carefully. You acknowledge that ModerantAI uses Artificial Intelligence and Machine Learning technologies. By their nature, these technologies are probabilistic and not infallible.

False Positives/Negatives: The Services may occasionally identify safe content as harmful (false positive) or fail to identify harmful content (false negative).

Human Oversight: ModerantAI is designed to be a tool to assist your moderation efforts, not to replace human judgment entirely. You are solely responsible for the final decision regarding any Content and for configuring the sensitivity rules to suit your community standards.

No Legal Duty: Our specific flagging of content does not constitute a legal opinion on whether that content violates laws in your jurisdiction.
4. User Data & Content Rights

Your Ownership: You retain all rights and ownership of the Content you submit to the API.

License to ModerantAI: By submitting Content, you grant us a worldwide, royalty-free license to process, store, and use that Content solely for the purpose of providing the Services to you.
5. Acceptable Use
You agree not to use the Services to:

Violate any applicable law or regulation.

Reverse engineer, decompile, or attempt to derive the source code or underlying models of ModerantAI.

Send content that contains child sexual abuse material (CSAM) intentionally for testing purposes without prior explicit written authorization and legal compliance protocols.

Overburden or stress-test the API beyond agreed rate limits without prior notice.
6. Fees and Payment

Subscription: Services are billed on a monthly basis.

Payment: You agree to provide current, complete, and accurate billing information.

Cancellation: You may cancel your subscription at any time. You will remain responsible for all fees incurred up to the date of cancellation.
7. Confidentiality
Both parties agree to keep confidential any proprietary information received from the other party that is marked as confidential or would reasonably be understood to be confidential (e.g., API keys, specific moderation rulesets, internal user data).
8. Limitation of Liability
To the fullest extent permitted by law:

ModerantAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data.

Our total liability for any claim arising out of these terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

We are not liable for any damages resulting from your users' exposure to offensive content that the Service failed to filter.
9. Indemnification
You agree to indemnify and hold harmless ModerantAI and its officers, directors, and employees from any claims, liabilities, damages, and expenses (including legal fees) arising out of:

Your use of the Services.

The Content you submit for processing.

Any violation of these Terms or applicable laws by you.
10. Termination
We reserve the right to suspend or terminate your access to the Services at our sole discretion, without notice, if we believe you have violated these Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.
